1. PARTIES

This AGREEMENT is made and entered into the

and

2. SERVICES PROVIDED

2.1. The client hereby agrees to engage the service provider to provide the following services;

2.2. The services may additionally include any ad hoc tasks that the parties may agree upon prior to the signing of this agreement.

3. THE TERM GOVERNING THIS AGREEMENT

3.1. The term of service within which the “services” outlined in Section 2 are to commence and reach completion areas follows;

The parties, i.e., the client and the service provider, hereby agree to ensure the terms of the agreement.

4. PAYMENT

4.1. Both parties, i.e., the client and the service provider, should note that, for the purposes of this agreement, all monetary values are to be denoted in South African Rands.

4.3. Credit Card. Client authorizes that service provider shall charge all amounts payable by client to service provider pursuant to this Agreement to client’s credit card in accordance with the credit card information provided by client.

4.3.1. By providing a credit card number to service provider, client authorizes service provider to continue charging the credit card all monthly fees payable to service provider, and any other charges incurred by client and payable to service provider pursuant to this agreement, until this agreement is terminated.

4.4. No Refunds. Payments referred to herein shall not be refundable under any circumstances, including but not limited to the termination of this Agreement for whatsoever reason.

5. DISPUTE RESOLUTION

5.1. Choice of Law.The parties agree that this agreement shall be governed by the country in which the duties of this Agreement are expected to take place. In the event that the duties of this Agreement are to take place in multiple countries, this Agreements hall be governed by South African law.

5.2. Negotiation. In the event of a dispute, the parties agree to work towards a resolution through good faith negotiation.

5.3. Mediation and arbitration. If a dispute cannot be resolved through good faith negotiation, the parties agree to submit to binding mediation or arbitration.

5.4. Attorneys ‘Fees. In the event of Arbitration and/or Mediation, the prevailing party will be entitled to its legal fees, including, but not limited to, its attorney’s fees.

6. TERMINATION

6.1. Either party may terminate the Agreement at any time upon 30 working days prior written notice to the other party. In the event the client terminates the Agreement, the client shall remain obligated to pay the service provider for any services performed up to the date of termination and any expenses approved, but not paid, prior to the date of termination.

6.2. In the event the service provider terminates the Agreement, the service provider shall reimburse the client any amounts previously paid to the service provider for which the service provider has not yet performed the services.

6.3. This Agreement will automatically terminate when both parties have performed all their obligations under the Agreement and all payments have been received.

7. GENERAL

7.1. Assignment. The Parties may not assign their rights and/or obligations under this Agreement.

7.2. Complete Contract. This Agreement constitutes the Parties entire understanding of their rights and obligations. This Agreement supersedes any other written or verbal communications between the Parties. Any subsequent changes to this Agreement must be made in writing and by both Parties.

7.3. Severability. If any section of this Agreement is found to be invalid, illegal, or unenforceable, the rest of this Agreement will still be forceable.

7.4. Waiver. Neither Party can waive any provision of this Agreement, or any rights or obligations under this Agreement, unless agreed to in writing. If any provision, right or obligation is waived, it is only waived to the extent agreed to in writing.

7.5. Notices. All notices under this Agreement must be sent by email with read receipt requested or by certified or registered mail with receipt requested.
